TERMS OF BUSINESS (MERCHANT TERMS)

INTRODUCTION
Please read these
Merchant Additional Terms and Conditions (“Terms of Business”) carefully before
availing any services offered by Earthen Living LLP.
These Terms are
supplementary to the Merchant Agreement governing the use of the
platform www.earthenliving.in
(“Platform” or “Online Marketplace”). In case of any conflict, these Terms
shall prevail with respect to ethical practices, onboarding, and marketplace
conduct.
1. GENERAL
TERMS
1.1 Onboarding
& Eligibility
Merchants must complete the onboarding process and submit all required
documentation before listing or promoting any product on the Platform.
1.2 Mandatory
Documentation
Merchants shall provide:
- Valid GST registration (if applicable)
- Business registration details
- Category-specific licenses and approvals
Applicable
categories include but are not limited to:
Apparel & Fashion, Personal Care, Lifestyle Products, Home Décor, Fruits
& Vegetables, Food & Beverages, Toys & Games, and Indian
Handicrafts.
1.3 Compliance
Certifications
Where applicable, merchants must provide:
- Organic certifications
- Food safety licenses (e.g., FSSAI)
- Any other regulatory approvals required under
Indian law
1.4 Customer
Interaction Restriction
Merchants shall not contact customers directly without prior written approval
from Earthen Living.
1.5 Non-Circumvention
Merchants agree not to:
- Engage in off-platform transactions with customers
acquired through the Platform
- Divert or attempt to divert Platform users for
direct sales
Violation may
result in immediate suspension or termination.
2. BUSINESS
ETHICS & STANDARDS
2.1 Labour
Compliance
- No use of child labour in any form
- Compliance with applicable labour laws
2.2 Fair
Compensation
Merchants must ensure fair and ethical compensation to:
- Employees
- Workers
- Farmers
- Artisans
2.3 Product
Integrity
All products listed must align with Earthen Living’s core values:
- Natural / Organic / Sustainable / Eco-friendly
Claims such as:
- “100% Organic”
- “Natural”
- “Biodegradable”
must be:
- Factually accurate
- Verifiable with supporting documentation
2.4 Origin of
Products
Preference is given to:
- “Made in India” / “Make in India” products
Imported
products:
- Must be disclosed clearly
- May be restricted or disallowed at Earthen Living’s
discretion
3.
TRACEABILITY & TRANSPARENCY
3.1 Product
Information
Merchants must provide accurate and complete details including:
- Product description
- Materials used
- Source/origin
3.2 Production
& Quality Control
Merchants must disclose:
- Production processes
- Quality control practices
3.3 Material
Disclosure
- Full disclosure of raw materials is mandatory
- Use of plastic must be minimized
If plastic is
used:
- Justification must be provided
- It must not pose any harm to consumers
4. PACKAGING
& SHIPPING
4.1 Branding
Requirements
For merchant-fulfilled orders:
- Earthen Living branded packaging must be used where
mandated
- Packaging must meet sustainability standards
defined by Earthen Living
4.2 Dispatch
Documentation
Each shipment must include:
- Official Dispatch Note / Invoice provided or
approved by Earthen Living
4.3 Shipping
Responsibility
Merchants are responsible for:
- Timely dispatch
- Safe packaging
- Accurate order fulfillment
Failure may
impact seller ratings and continuation on the Platform.
5. PRODUCT
LISTING & CONTENT
5.1 Accuracy
of Listings
Merchants must ensure:
- No misleading descriptions
- No false claims or certifications
5.2 Image
Usage
- Images must be authentic and represent the actual
product
- No copyrighted or third-party images without
authorization
6. RIGHTS OF
EARTHEN LIVING
Earthen Living
reserves the right to:
6.1 Listing
Control
- Approve, modify, or remove any product listing at
its sole discretion without prior notice
6.2 Content
Modification
- Edit product images, descriptions, or content to
maintain brand consistency
6.3 Marketing
Usage
- Use product images, brand names, and content for:
- Marketing
- Promotions
- Advertising
6.4 Platform
Governance
- Suspend or terminate merchant accounts for:
- Policy violations
- Misrepresentation
- Customer complaints
- Legal non-compliance
7. COMPLIANCE
WITH LAWS
Merchants agree
to comply with all applicable Indian laws including but not limited to:
- Consumer Protection Act, 2019
- Legal Metrology Act
- Food Safety regulations (FSSAI, where applicable)
- Information Technology Act, 2000
- DPDP Act, 2023 (Data Protection)
8. LIABILITY
& INDEMNITY

Responsibility
Merchants are solely responsible for:
- Product quality
- Safety
- Compliance
- Claims arising from product usage
8.2 Indemnification
Merchants agree to indemnify and hold harmless Earthen Living LLP against:
- Customer claims
- Legal disputes
- Regulatory penalties
arising from their products or actions
9. TERMINATION
Earthen Living
reserves the right to:
- Suspend or terminate merchant access
- Withhold payouts (if applicable)
in case of violations of these Terms
10.
MODIFICATIONS
Earthen Living
may update these Terms at any time. Continued use of the Platform constitutes
acceptance of the revised Terms.
